TERMS & CONDITIONS – SOURCING SERVICES

International Market Bridge (IMB) provides sourcing, coordination, and intermediary services only. By accessing this website or placing an order through IMB, the client (“Client”) expressly agrees to the following Terms & Conditions.

1. Nature of Services

IMB acts solely as a sourcing agent and commercial intermediary.
IMB does not sell goods, does not act as a seller, distributor, importer, exporter, or owner of the goods at any time.

All products displayed or referenced on this platform are supplied exclusively by independent third-party suppliers.

2. Role of IMB

IMB’s role is limited to:
• Identifying and sourcing products upon client request
• Coordinating communications between clients, suppliers, and logistics providers
• Assisting with commercial and logistical coordination

IMB does not manufacture, inspect, store, package, label, or physically handle any goods.

3. Third-Party Suppliers

All goods are supplied by independent third-party suppliers.
IMB has no control over suppliers’ manufacturing processes, inventory, product specifications, or operational performance.

Any contractual relationship related to the goods exists directly or indirectly between the Client and the supplier.

4. Payments & Commercial Terms

Any payments collected by IMB are received strictly in its capacity as a sourcing and coordination agent, acting on behalf of the Client and/or the supplier.

Such payments do not constitute a sale of goods by IMB.

IMB’s remuneration may be included within the total amount invoiced or charged as part of sourcing, coordination, or service fees.

5. Product Quality & Compliance Disclaimer

IMB makes no representation or warranty, express or implied, regarding:
• Product quality
• Fitness for a particular purpose
• Safety, labeling, or certifications
• Regulatory or legal compliance in any jurisdiction

IMB shall not be responsible for any defects, non-conformities, recalls, or quality issues related to the goods.

6. Logistics, Shipping & Customs

IMB is not responsible for:
• Shipping delays or disruptions
• Customs clearance procedures
• Import or export duties, taxes, VAT, or fees
• Regulatory inspections, seizures, or rejections

All customs-related obligations and costs remain the sole responsibility of the Client unless otherwise expressly agreed in writing.

7. Limitation of Liability

To the maximum extent permitted by law:
• IMB shall not be liable for any indirect, incidental, consequential, or commercial damages
• IMB’s total liability, if any, shall be strictly limited to the sourcing or service fees actually received by IMB

IMB shall not be liable for supplier defaults, force majeure events, or third-party failures.

8. No Agency, Partnership, or Joint Venture

Nothing in these Terms & Conditions shall be deemed to create any partnership, joint venture, or employment relationship between IMB and the Client or any supplier.

9. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates.
IMB reserves the right to enforce these Terms in any competent jurisdiction as necessary.

10. Acceptance of Terms

By accessing the website, submitting an order, or making any payment, the Client confirms that they have read, understood, and expressly agreed to these Terms & Conditions.
